By its very nature, the decentralised structure of blockchain (DeFi) challenges the static norms of traditional law. CMB Licensing and CASP Compliance

The remit of the Financial Technologies Department established within the Capital Markets Board of Türkiye (SPK/CMB) and the principle decisions it publishes are at the core of our services. In this context, we run end-to-end licensing processes for Crypto Asset Service Providers (CASPs) operating in Türkiye and in global markets. CASP licensing is not just a bureaucratic application step; it is a multi-layered compliance programme extending from the company's information systems infrastructure to its board structure, and from internal control mechanisms to custody services. To ensure that our clients fully comply with the capital adequacy and technological infrastructure standards introduced by the CMB, we provide preventive legal services on monitoring fintech market structures and integrating them into the legislation.

Tokenisation and RWA

Another critical pillar of our services is tokenisation and crypto asset issuance. In particular, securitising Real World Assets (RWA) by bringing them onto the blockchain is the most tangible point where traditional finance meets the digital future. In this process, we carefully prepare the white paper that puts the project's technical and economic structure on a legal footing and review whether the commitments made to investors comply with capital markets legislation. In line with capital markets legislation and the related principle decisions, we draft listing and custody agreements between project owners and crypto asset trading platforms in issuances and public offerings, review the agreements to be concluded with liquidity providers for compliance with the relevant legislation (in particular on market fraud and market abuse), and manage the legal risk analysis of the issuance process.

Corporate Structuring and Technoparks

Our audit and oversight work on digital financial products and infrastructure extends from company formation to operational processes. We specialise in helping technology companies benefit from Technopark privileges and exemptions to improve cost and operational efficiency, amending articles of association to suit the blockchain ecosystem and designing shareholding structures.

AML, CFT and MASAK Compliance

In addition, within the scope of anti-money laundering (AML) and countering the financing of terrorism (CFT), we ensure compliance with MASAK (Financial Crimes Investigation Board) legislation, set up suspicious transaction reporting procedures and build "Know Your Transaction" (KYT) principles into company policies.
